Terms of Service

The short version: $10 for the first year, then $49 a year for as long as you stay, per listing, locked on the day you buy. Enquiries are free and always will be. You can cancel in one click. The rest of this page is the detail, and sections 5 and 6 are promises we have written so that we cannot take them back later.

1.Who you are contracting with

Bizroots (bizroots.com.au) is an Australian business directory operated from Perth, Western Australia by Xaio Tech Pty Ltd (ABN 27 697 386 084) ("Bizroots", "we", "us"). When you buy a listing, your contract is with that company. Our postal address is 3/25 Walters Drive, Osborne Park, WA 6017.

These terms cover your use of the Bizroots website and your listing subscription. You accept them at the payment step, when you buy a listing — that is the one place we ask, and the version you accepted is recorded against your signup. Xaio Tech Pty Ltd is named on that same step as the company you are paying.

2.What a listing is, and what we do not promise

A listing is a page on bizroots.com.au for one business. We check the ABN you give us against ABN Lookup, the public service run by the Australian Business Register; we record what the register returns; and we publish a page you control from your dashboard.

A successful check proves one thing: that the ABN exists and was active on the register on the day we checked it. It is not proof that the person who entered it owns that business, and it is not a check of licences, insurance, qualifications or workmanship. The badge on your page says exactly what we did — ABN verified as at a date — and nothing more.

Anything you tell us that we have not checked is published as yours. A licence number you type in appears as "Licence number supplied by the member" unless and until a person here has actually checked it.

We do not promise traffic, enquiries, phone calls, sales, a ranking on Bizroots or a position in anyone else's search results. What we owe you is the page: published, accurate to what you and the register tell us, and yours to edit. What comes of it is not something we can honestly guarantee, so we do not.

3.Your account and your ABN

You must be the business the listing is for, or be authorised to act for it. Do not list a business you have no right to represent.

A subscription buys one listing, not one ABN. One ABN can carry several businesses — each is its own listing, with its own subscription and its own locked renewal price.

Your legal name on the page is whatever the Australian Business Register returns for your ABN. We never type it ourselves and you cannot edit it here; if it is wrong it has to be corrected at the register, and we pick the change up when we next check. Your trading name comes from you — the register's trading-name data has not been updated since 2012, so it is not usable — and you are responsible for it being a name your business actually trades under.

Keep your sign-in details to yourself. Anything done from your account is treated as done by you. Tell us at hello@bizroots.com.au if you think someone else has access to it.

4.What a listing costs

$10 for the first year, then $49 for each year after. Both figures are in Australian dollars and GST-inclusive: the amount charged is exactly the amount shown. The price is per listing, not per ABN and not per account.

Payment is by card through Stripe. Your card details go straight to Stripe and never pass through our servers. Your invoices are available at any time in the Stripe billing portal, which you reach from the billing page in your dashboard.

Your page goes live when the payment settles, not at the moment you press pay. For a card that is seconds. For a bank-debit method it can be a day or two, and the page publishes when the money actually clears.

5.The locked renewal price

When you buy a listing we record a renewal price against that subscription — today, $49 a year, GST inclusive. That recorded figure is the amount we charge to renew that listing, every year, for as long as the subscription stays active. It does not rise.

If we change the prices advertised on this website, the change applies to new subscriptions only. It has no effect on a renewal price already recorded against yours. We do not recalculate your renewal from the current price list, and there is no annual review, no indexation and no CPI adjustment. The lock is per listing: if you hold three listings, each renews at the price recorded on the day that listing was bought.

Only two things change the figure recorded against your subscription, and neither of them is us putting it up. You ask us to change it. Or you cancel the subscription yourself and later buy that listing again — that is a new subscription, at whatever the price is then.

A failed payment is not one of them. It does not end the subscription and it does not cost you the locked price: Stripe retries, the listing is marked lapsed if the retries run out (sections 7 and 10), and the next successful payment renews it at the same recorded figure. Only a cancellation you make yourself resets the price, and only if you buy that listing again afterwards.

One thing makes a renewal cost less. Refer three businesses that go on to pay for a listing, using the referral link on your dashboard, and the next renewal for that listing is free — we apply it at renewal. That is a credit against one renewal rather than a change to the recorded price, so the renewal after it is charged at the recorded price as usual. Nothing in the referral scheme can push your renewal price up.

This section cannot be varied under section 14, and nothing elsewhere in these terms overrides it.

6.Enquiries are always free

We never charge you per lead and we never take a commission. If a customer enquiry reaches your business through Bizroots, receiving it costs you nothing: no credits, no per-enquiry fee, no percentage of the job, no fee to unlock a phone number. Every revenue path at Bizroots is a subscription.

This section, like section 5, cannot be varied under section 14. It is not an introductory offer and it does not lapse.

7.Renewal, reminders and failed payments

A subscription renews automatically each year at your locked renewal price, on the anniversary of the day it started. About a month before that date we email you a reminder naming the amount and the day it will be charged. If the card we have on file is due to expire before the charge, we email you about that as well.

If a payment fails, Stripe retries it over the following days. After the third failed attempt on the same invoice we email you and mark the listing as lapsed — see section 10. Nothing is deleted at any point. Update your card in the Stripe billing portal and the next successful payment puts the listing straight back to normal, at your locked renewal price.

8.Cancelling

Cancel from the billing page in your dashboard, or in the Stripe billing portal. It is one click. There is no lock-in contract, no phone call, no retention offer to argue past and no cancellation fee.

Cancelling stops the next charge. It takes effect at the end of the year you have already paid for: until that date the listing carries on exactly as it is. After it, the listing is marked lapsed, which means the page stays published — see section 10. If you would rather it came down, email hello@bizroots.com.au and we will unpublish it.

9.Refunds

We do not refund a subscription because you changed your mind, and we do not offer a cooling-off period or credit for the unused part of a year. Cancelling stops the next charge; the year you have paid for runs its course.

There are four exceptions, and we mean them:

  • our billing mistake — you were charged twice for the same listing, or charged after you cancelled. We refund it in full;
  • a change to these terms under section 14 that materially disadvantages you, if you cancel before it takes effect. We refund the unused whole months of the year you have paid for;
  • a suspension we got wrong — we put the page back and credit you for the time it was down (section 13);
  • anything the Australian Consumer Law entitles you to — see section 15. Nothing in these terms limits those rights.

None of these happens automatically. Email hello@bizroots.com.au, tell us which one applies, and we put it right — a refund goes back to the card you paid with.

10.If your subscription lapses

Lapsed means the subscription is not paid. It does not mean deleted, and it never has. Your page stays published, with a visible note that the membership has lapsed, and you can still sign in and edit everything on it.

What lapsing costs you is the parts that depend on a current membership: the listing stops counting towards the live-member counts we publish for your suburb and category, it drops out of the sitemap we give search engines, and we stop sending renewal reminders.

How you start again depends on why it lapsed. If a payment failed, the subscription is still there — update your card in the Stripe billing portal and the next successful payment restores everything, at your locked renewal price. If you cancelled, that subscription has ended and there is no button here to buy the same listing back; email hello@bizroots.com.au. A new subscription is a new subscription, at whatever the price is then (section 5).

11.Your content, and what we publish

You keep ownership of everything you put on your listing — your trading name, description, photos, logo, hours and the rest. You give us a non-exclusive, worldwide, royalty-free licence to store, copy, resize and publish that content on Bizroots: on your listing page, on the suburb and category pages that list you, and in the machine-readable page data that search engines and other software read. The licence exists so we can show your page. We do not sell your content and we do not license it on to anyone else. It ends when you remove the content, apart from copies that sit in backups and other people's caches for a while afterwards.

You are responsible for what you publish: that it is accurate, that you have the right to publish it, and that it is not someone else's photos, logo or words.

If someone brings a claim against us over content you published, you cover what that claim actually costs us — what we have to pay out, and our reasonable legal costs. That applies only if we do three things, and they are obligations on us, not on you:

  • we tell you about the claim promptly, with enough detail for you to act on it;
  • we let you run the defence, or help run it, and we give you the documents and the cooperation you need; and
  • we get your agreement before we settle it.

It goes no further than what the claim actually costs us, and it does not cover anything caused by our own act or omission. If the problem is something we did, or failed to do, it is ours and not yours.

The email address and mobile number you give us at signup become the contact details on your listing and are published on the page, both as text and in the structured data other software reads. You can change or remove either of them in your profile at any time.

Photos and your logo are served from public storage. An image address works for anyone who has it, including before your page is published and after it comes down. Do not upload anything you would not pin to a public noticeboard, and do not upload photos of people who have not agreed to it.

12.Acceptable use

You agree not to:

  • mislead or deceive customers or other businesses;
  • scrape, harvest or bulk-export directory data or contact details;
  • send spam or unsolicited marketing to listed businesses;
  • harass, abuse or discriminate against anyone on the platform;
  • post unlawful content or use the platform for unlawful purposes;
  • impersonate another business or person;
  • interfere with the site or try to get at data you are not entitled to.

Be clear-eyed about the scraping rule: it is a rule, not a wall. A listing is a public web page and the contact details on it are not obfuscated, so anything you publish can be copied by someone who ignores these terms. Publish accordingly.

13.Reports, suspension and removal

Anyone can report a listing they believe is misleading or is not the reporter's business. A person reads every report. If we think a listing breaches these terms we email you first: we tell you what the problem is and give you a fair chance to answer it before anything comes down. If we then suspend the listing, the page comes down and it disappears from the roll-ups and counts.

We only suspend first and ask afterwards where the law requires us to act straight away, or where the problem is an obvious safety issue that cannot wait. Even then we tell you what the problem is as soon as we have acted, and you can answer it then.

Suspension does not stop the subscription. The two are separate and we do not cancel it for you — if you want the billing to stop as well, cancel under section 8. If we suspend a listing and it turns out we had it wrong, we put the page back and credit you for the time it was down, so you do not pay for days your page was not up.

We recheck ABNs against the register periodically. If the register shows an ABN has been cancelled we flag the listing for a person to look at. Nothing is taken down automatically on the strength of a register check.

You can stop using Bizroots at any time by cancelling. We would only close an account outright for serious or repeated breaches of section 12, or where the law requires it.

14.Changing these terms

Two things in these terms can never be changed to your disadvantage — not by a new version, not by a notice, not by anything else we publish:

  • the locked renewal price recorded against your subscription (section 5); and
  • that enquiries are free — no per-lead charge, no commission, no credits (section 6).

Those two are carved out of this section permanently. If we ever publish a version of these terms that conflicts with them, the version you accepted when you bought your listing governs those two points, for that listing, for as long as the subscription stays active.

Everything else we may change — to describe a new feature, to correct an error, or to meet a legal requirement. If a change materially disadvantages you we will email you at least 30 days before it takes effect, and you can cancel before then without penalty, with the refund set out in section 9. Changes that do not disadvantage you take effect when we publish them. No change is retrospective: the version in force at the time governs what already happened.

This is a standard-form contract — you did not get to negotiate it, and a right for one side to rewrite the deal at will is exactly the kind of term that ought not to be in one. That is why the two promises above sit outside this section, and why the rest comes with notice and a way out.

15.Liability and the Australian Consumer Law

Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other law that cannot be excluded. If anything here would do that, it does not apply to that extent, and the rest still stands.

Bizroots is a directory. We are not a party to any contract between a listed business and its customers. We do not vet workmanship, licences, insurance or the quality, safety or legality of any listed business's goods or services, and a listing here is not a recommendation. We aim to keep the site up and available, but we do not guarantee uninterrupted access.

To the extent the law allows, and apart from the guarantees above, we are not liable for loss of profit, loss of business, lost enquiries or other indirect or consequential loss arising from your use of Bizroots or from any dealing with a business you found through it. Where our liability can lawfully be limited, it is limited, at our option, to resupplying the listing or paying the cost of having it resupplied.

16.Governing law

These terms are governed by the laws of Western Australia. The courts of Western Australia have non-exclusive jurisdiction over any dispute arising from them.

If something has gone wrong, email the same address, tell us what happened and what you want fixed, and we will work through it with you. If we cannot sort it out between us, your rights under the Australian Consumer Law and the courts of Western Australia are still there.
